Legal support for founders

We support founders and high-growth companies to secure the right investment terms for a successful long-term relationship. Our multidisciplinary team excels when acting as a strategic partner throughout the entire scale-up journey, assisting with all your legal needs.

At the outset of the process, we take the time to understand each business and regularly work with founders to carry out 'investment readiness' sessions. These help to ensure that the business has a solid foundation for seeking investment. We then take you through each proposed term sheet in detail, helping you to understand the proposed terms of each investment offer and select the investor that provides the best fit for your business. Failing to obtain detailed advice at this stage can be a major trap, as it’ll be very difficult to row back from the terms included in the term sheet.

Once the term sheet is signed, we then provide advice on the terms of the detailed investment documents and negotiate said documents on your behalf to ensure that they’re appropriate for both the initial investment and ongoing governance of the business. We’ll take you through the disclosure process against the warranties included in the investment documents, ensuring that appropriate disclosures are made to mitigate the risk of post-investment warranty claims. We also assist with all aspects of the closing process, including dealing with any applicable convertible instruments on closing and ensuring that you understand the final resulting share cap table.

Legal support for investors

We act for angel investors, family offices and venture capital firms, supporting them to make investments into high-growth companies across a variety of sectors. 

At the outset of working with you, we’ll establish your specific investment perimeters and criteria for funds. As part of the onboarding process, we’ll review any applicable standard documents (or advise on how to prepare standard documents, if required). We’ll then provide input into negotiating the term sheet with the founder team, using our experience to provide pragmatic advice that can address any typical points of contention. Following agreement, we take the lead in preparing all required documents to implement the transaction, advising on and negotiating the legal terms and project managing the transaction to close.

We can also support you with all your legal needs throughout the life of your investment, such as portfolio advice and guidance through exits and liquidity events. We assist in dealing with variations to constitutional documents, support with follow-on funding, help to manage transitions within founder teams and advise on management incentivisation.

Experienced venture capital lawyers

Our venture capital team is led by experienced corporate lawyer Daniel Hayhurst. Daniel acts for many high-growth businesses and some of the most active regional investors.
