However, the management buy-in (MBI) process can be complex and time consuming. Once a target has been identified, obtaining funding for the deal may not be straightforward — given the perceived risks of an external management team coming into a business. 

The timing of when to acquire and sell is also key. It’s critical to understand perturbations in the market and the funding cycles of private equity funders.

If you don’t already have a target business in mind, we can work with you to find one. We then introduce MBI teams to potential debt and equity funders before detailed discussions take place with potential targets — giving vendors a degree of certainty that the transaction is fundable.

We lead all negotiations with vendors and will only recommend that a client proceeds with a transaction if we consider the purchase price and deal structure to be reasonable — and if we know that we can source an appropriate, robust, funding structure.

Working closely with the management team, we’ll coach you through the entire transaction. We’ll also approach potential providers of debt and equity funding. The working relationship between funder and client can be just as important as the funding advanced on day one.

When working to prepare the MBI funding document, we’ll help to identify the commercial risks associated with the transaction and develop a meaningful action plan to address them. Our approach ensures that you’re kept up to date and time isn’t wasted as the deal progresses.
