With one of the largest real estate legal teams in the North of England, we act on significant, complex and high-profile development, regeneration and infrastructure transactions across England and Wales. 

Our clients include private sector developers, joint ventures, infrastructure operators, local authorities and active occupiers of retail and mixed-use real estate developments, as well as institutional investors and funds.

Our experienced team advises and adds value throughout the entire development lifecycle — from new project bids, negotiating overarching development framework agreements, pre-let agreements, site acquisitions, assembly and contract negotiation through to funding agreements, construction and eventual disposal. 

We’re known for advising on longer-term projects, including extensive regeneration schemes that breathe new life into towns and cities across the UK and improve outcomes for local communities. This includes acting as the sole advisors on property and development matters for significant waterfront schemes such as Liverpool Waters and Chatham Waters on behalf of The Peel Group, where we successfully navigated any legal issues and risks (such as those relating to environmental impact and compulsory purchase orders). This has an estimated development value of £5bn and includes Everton FC’s new football stadium, a new ferry terminal and six new residential-led mixed-use buildings. We also advised Lancaster City Council on the successful £100m Eden Project North in Morecambe, where we were brought in to structure the deal and ensure prompt project delivery. We further secured a seven-month turnaround on Oldham Council’s £550m public sector procurement project to kickstart its regeneration strategy, which was won by Muse Places.

We’re not only known for our legal acumen but our collaborative ethos and approach. 

Since development transactions can take months (or even years) to broker and put together — long before lawyers enter the fray — we always want to reach the right commercial outcome for all parties involved as quickly and painlessly as possible. Our ability to effectively assess and manage transactions to reach a swift conclusion is second-to-none.

Our team lives by a set of ‘golden rules’ that dictate how we conduct development transactions.

  1. Commercial reality comes first — we always treat the counterparty as the customer (unless told otherwise). We look to gain a deep understanding of the nature of this relationship before commencing the legal detail to ensure a smooth transition from commercial discussion to legal negotiation.
  2. Collaboration is king — we have no room for egos. We avoid legal point-scoring with the lawyers acting for a counterparty and focus on achieving a successful outcome.
  3. Pragmatic legal approach — we know all too well the importance of the bargaining position. That’s why we take care to understand the relative positions of all parties and tailor our legal approach accordingly.
  4. Non-legal problems are our problems too — we’re alive to any issues that could delay or thwart a transaction timetable. As your ‘second pair of eyes’, we use our experience to flag commercial and practical problems before they become legal ones.

We’ve been undertaking large-scale development, regeneration and infrastructure work for many years. 

Our team is led by a range of specialist Partners including experienced real estate development lawyer Roy Barry, who has a strong track record in leading on major development and real estate transactions. Recognised as a ‘leading individual’ in commercial property by The Legal 500 (which describes him as “more than impressive”), Roy is regarded as having worked on “some of the biggest and most complicated development deals of recent times”. The team also received praise for its “legal acumen, pragmatism, commercialism and tenacity… wrapped-up in an approachable and affable manner, which makes working with them an enjoyable experience”. Roy led a “ruthlessly efficient” legal process as part of our support on Oldham City Council’s £550m town centre regeneration project. His team managed to conclude the detailed legal dialogue in just seven months — a remarkable turnaround for such a complex and competitive process.

The team also contains Practice Group Head of Real Estate Iain Gamble. Known for his calm approach and personable manner, Iain is a skilled negotiator with expertise in long-term, large-scale and complex urban renewal projects. He’s worked on a significant number of key matters, such as Liverpool Waters (including Everton’s Bramley Moore Dock stadium development), Wirral Waters and Chatham Waters on behalf of long-standing client Peel Waters, as well as the Eden Project Morecambe. 

Further partner-level leadership comes from Luke Taylor — a commercial real estate lawyer who has been involved in several high-profile development projects related to retail, student accommodation, leisure and healthcare.

Robert Arnison brings significant experience in all aspects of commercial real estate law, having been involved with a high volume of development, regeneration and infrastructure projects throughout his career. He’s also experienced in asset management and investment, grant and public sector finance, development and real estate finance, property funds, property joint ventures and corporate real estate matters.

Construction

Our construction team has extensive experience in providing the full range of contentious and non-contentious legal services.

From the procurement stage to drafting contracts and sub-contract terms, consultants’ appointments, development agreements, agreements for lease, warranties, guarantees, novations and bonds, our construction experts work closely and collaboratively with our commercial development team.

 

Procurement

Specialists in large-scale procurement work, our public procurement team provides advice on all aspects of procurement law, as well as end-to-end support on tenders.

We’re members of the Procurement Lawyers’ Association and advise on contentious and non-contentious matters for both the private and public sectors — giving us a rounded perspective of the needs and challenges on both sides.

Subsidy control law

This is a niche area that requires specific analysis based on a given scenario. It also requires the practitioner to be up to date on all guidance and decisions of the Subsidy Control Unit. 

Our procurement team has an appreciation of subsidy control and makes use of our trusted network of external counsel to seek opinions on any issues that might arise. This enables us to provide swift and commercially focused advice.

Oldham town centre regeneration

Advising Oldham City Council on the competitive dialogue procurement of its £550m transformational town centre regeneration project, which is creating 2,000 new mixed-tenure homes and expected to bring millions of pounds of investment. We managed to conclude the detailed legal dialogue in just seven months — fast for a project of this scale and complexity.

Mixed-use regeneration project

Delivering a major mixed-use regeneration project designed to repurpose surplus retail space on behalf of an established property development company. This involved design, construction, finance and the long-term operation and management of the scheme.

Procurement — affordable homes

Advising one of the North’s largest providers of affordable homes on its partnership with a major housebuilder, which will see the development of ~600 new homes across four sites in a deal worth £150m. Our team advised on the public procurement process, overcoming time pressures and rising build costs to reach an agreement that all parties were delighted with.

Grant funding agreement — placemaking partnership

Working with a placemaking partnership to deliver a highly efficient affordable housing scheme. We supported the lawyers at the social housing services provider to negotiate the form of grant funding agreement in our role as lead developer lawyer.

Grant funding agreements — infrastructure and real estate investor

Advising one of the leading infrastructure and real estate investors in the UK in respect of a series of grant funding agreements with the local authority and assisting with successful negotiations. This included implementing a streamlined process to the drawdown of the various nationwide funds across multiple documents involving various public sector personnel to ensure effective stakeholder engagement with all funding partners via the legal teams.

Grant funding agreement — registered provider

Advising a registered provider of social housing in negotiations with a local authority for the agreement of a bespoke grant funding agreement and related nominations agreement for the use of the some of the Local Authority Housing Fund (LAHF) for the purchase of properties by the registered provider.

Birkenhead Docks

Acted for the Mersey Docks and Harbour Company/Peel Ports on the legal structure for both the funding and development of new £12m contemporary logistics facility for Finsa UK at Birkenhead Docks.

Portfolio refinance

Acted for Nelcrest Limited in connection with a multi-million-pound portfolio refinance of 161 properties, including due diligence reporting on the same.

Cole Waterhouse — Leeds City Village

Advised property developer Cole Waterhouse in relation to their acquisition of a 3.8 acre brownfield site outside Leeds City Centre to build a brand new mixed use scheme, Leeds City Village.

Eden Project Morecambe

Advised Lancaster City Council on the disposal of land to form the £100m Eden Project Morecambe.

CountyRoute — joint venture CPO

Advise CountyRoute on a joint venture CPO matter relating to the construction of the A130.

Eight-figure development site refinancing

Acting for a large house builder on a considerable eight-figure refinancing of 12 development sites with a gross development value of £1.4bn.
